These terms apply to all services provided by Upsway Marketing LLC.

Acceptance: by accepting a quote or engaging with our team to deliver services, clients agree to these terms.

Charges: Quotes are sent via email and are valid for 30 days. Once quotes are accepted online, they are converted into invoices for payment. Payment is due 30 days post-completion. Payment is done via emailed invoice links. All major cards are accepted. State taxes and online processing fees apply.

Client Review: Clients have 10 days post-project completion to request revisions; otherwise, materials are considered approved.

Turnaround Time and Content Control: Agreed-upon delivery dates apply unless the client requests delays. Clients must delegate a primary contact and provide necessary content promptly.

Payment: Invoices are issued upon completion and due upon receipt. Unpaid accounts after 30 days will incur a recurring monthly service charge of 2% until paid.

Default: Unpaid accounts after 30 days may result in service suspension. Clients are liable for outstanding charges and related expenses.

Termination: Termination requests must be in writing. Invoices for work completed up to the termination date are due within 30 days.

Indemnity: Services must be used for lawful purposes; clients indemnify Upsway Marketing LLC against any claims from service use.

Copyright: Clients retain copyright to provided data; Upsway Marketing LLC may publish and use the material. Clients must ensure proper copyright permissions for third-party content.

Standard Media Delivery: Clients should provide text in electronic format; images should be high-quality.

Access Requirements: Temporary access to client storage directories via FTP may be required.

Post-Placement Alterations: Upsway Marketing LLC isn’t responsible for alterations by third parties post-installation.

Domain Names: Client responsibility for domain payment and renewal; loss due to non-payment isn't Upsway Marketing LLC's responsibility.

General: Agreement to these terms via signature or payment constitutes acceptance.

Social Media Management: Minimum one-month contract for social media services; work paused if payments are late.

Governing Law: US Law governs this Agreement.

Liability: Excludes liability for inaccuracies, omissions, or errors in the website production.

Severability: Invalid provisions won't void the Agreement; replaced by valid provisions.

Changes to the Original Scope of Work: Three minor changes are allowed; additional changes are subject to extra charges.

Record Maintenance: Finalized designs will be recorded and provided upon request.

Communication Policy: Correspondence regarding terms of service only through info@upswaymarketing.com.
